As Buying Agent, We will perform any or all of the following services to the extent necessary to meet Buyer’s needs, including:

1. a.       Advise Buyer of styling, marketing, supply and manufacturing aspects in Vietnam of Buyer’s proposed purchase of merchandises.
2. b.      Solicit offers to sell such merchandises to Buyer, develop estimates and establish prices for the export supplier’s selling price to Buyer.
3. c.       Obtain and submit, upon request from the Buyer, samples of available merchandise which the Agent believes might be of interest to the Buyer, together with price and delivery information relating thereto.
4. d.      Research the market to identify new products and manufacturers that could be of interest for Buyer.
5. e.       Assist Buyer when its representatives visit the various manufacturers and/or suppliers to negotiate contracts or review production. Act as interpreter for Buyer’s representatives at meetings with manufacturers and/or suppliers where such service is necessary.
6. f.       Negotiate with manufactures and suppliers to get the best terms with respect to prices, payment and delivery conditions for benefit of Buyer.
7. g.      Prior to engagement, Agent shall use its best reasonable efforts to evaluate and assure that factory has the capacity and capability to produce the merchandise Buyer wants to order.
8. h.      Place orders on behalf of the Buyer by transmitting the Buyer’s purchase order to the supplier, to expedite such orders and to advise the Buyer of delivery schedules.
9. i.        Translate information furnished by Buyer and transmit such information to manufacturers so that merchandise can be produced in accordance with Buyer’s specifications.
10. j.        Communicate Buyer’s requirements with respect to quality standards, labor standards and security to suppliers and monitor compliance as requested by Buyer.
11. k.      Provide Buyer with the location, phone number and fax number of each factory where merchandise is to be produced together with a factory description.
12. l.        Follow up to make sure that the merchandise is produced and shipped according to schedule of the contract. Inspect each shipment of merchandise before and after it is packed in condition ready for shipment to the destination country to ensure that such merchandise (1) meets Buyer’s specifications as set forth in the applicable contract (and all amendments thereto) and is not defective in any respect; (2) is packaged, labeled, priced and invoiced in accordance with the instructions set forth in the applicable contract; (3) is packaged in a manner which will ensure its safe transportation to Buyer. Agent will advise Buyer immediately of any discrepancies in (1) through (3) above.
13. m.    Ensure that manufacturers/ suppliers arrange for shipment of merchandise, and in that regard use its best efforts to ensure that manufacturers/suppliers make truthful and accurate preparation of all necessary documentation, including, but not limited to, certificates, forms, statements and any other information necessary for export and import procedures, in accordance with the terms of the relevant purchase contracts.
14. n.      Upon request and subject to specific instructions of Buyer, arrange for and supervise the consolidation of shipments in order to reduce shipping costs.
15. o.      In accordance with the instructions from Buyer, use its best efforts to seek the best settlement for Buyer of claims against manufacturers and/or suppliers.
